<p>1 &#8211; on his first day as interim president, Vladimir Putin departed to visit Russian troops in Chechnya.</p>
<p>4 &#8211; President Clinton recommends Alan Greenspan to a fourth four year term as Chairman of the Federal Reserve.</p>
<p>5 &#8211; President Clinton decides that Elian Gonzalez, a six year old Cuban boy who survived the capsizing of a refugee boat, should be returned to his father in Cuba.</p>

<p>This system maintains a database of all of the names registered in Canada including trade-marks, sole proprietorships, business names, partnerships, non-share and regular share companies. The system is mandated to keep track of all names registered provincially and territorial in Canada.</p>
<p>By comparing the proposed name against the name search system, any similarity existing between the proposed name and the names in the database, will show up on the report. This will allow you to determine whether you are planning on using a name for your company that is too similar to another name. It is important for your name to be as distinct as possible.</p>
<p>Nuans name search reports must accompany articles of incorporation when incorporating a company in the federal, Alberta, Ontario, New Brunswick, Prince Edward Island and Yukon jurisdictions of Canada.</p>
<p>Not all provinces and territories will accept the Nuans report. Some jurisdictions in Canada have their own search system. The Nuans system contains all names registered across Canada regardless and it is advisable to do a preliminary name search through the Nuans system before incorporating or registering a business name.</p>
<p>In Canada certain jurisdictions only will review a Nuans prior to registering a company and they are shown below:</p>

<p>Alberta</p>
<p>The governments which do not accept reports from the Nuans system provide a list of any names that have been registered in their province or territory to the system and these names are added to the database.</p>
<p>A company is not allowed to have the same name as another company in Canada. The governments in all jurisdictions need to ensure this does not happen.</p>
<p>Even if the name you propose for your business is different than all other names registered but possibly too close in similarity to another name registered your business could be taken to court and ordered to change its name. You are the one who is expected to ensure you have picked a name that is not similar to any other name registered.</p>
<p>If you are incorporating a company in Alberta you will be required to provide an Alberta biased Nuans name search report and if you are registering a business federally you will be required to provide a Canada biased Nuans name search report. These reports are biased to the jurisdiction they represent but the report still covers all names registered across Canada.</p>
<p>If you are registering a partnership, sole proprietorship or business name in Alberta and Ontario, and maybe in some other provinces, you will not be required to provide a name search and can register a name exactly as any other name registered.</p>
<p>This does not mean that you should just go ahead and register and name you wish. A preliminary name search should be done to ensure that you do not register an exact same name.</p>
<p>A preliminary name search can be performed by a registered search house. Preliminary name search results can be provided by email. An average person would not be able to pick up all the conflicts when performing a preliminary name search since search houses are trained for this purpose.</p>

This database compares a proposed corporation name or trade-mark with a database of existing names that have already been registered in a province or territory across Canada with a few exceptions.</p>
<p>You will not be able to incorporate a company in New Brunswick without providing a Name Search Report along with your articles of incorporation. When you go to incorporate the Nb government will compare the name you wish to use for your new company to all of the names on the New Brunswick Nuans name search and this will let the NB government know if the name is available for use.</p>
<p>You will also be required to provide a New Brunswick Nuans report when you are registering a business name on behalf of a NB company (already registered), a partnership and when registering a sole proprietorship. You should realize that the NB government takes great care in ensuring that a proposed name is quite different from other names registered and it is important that you choose a name that is very different from others already registered anywhere in Canada. It is advisable to perform a preliminary name search before ordering your New Brunswick Nuans name search report. A preliminary name search will give you an idea whether the name has been taken or is in use by another company or person and what competition you have for the name. It would not be a good idea to just order a New Brunswick name search without checking to see if the name is available because once the search is ordered there is a cost. If the report shows a conflict it will be too late and you will need to order another search after you pick another business name. To avoid this cost you perform a preliminary name search. The New Brunswick government compares not only the names already registered in New Brunswick but names that have been registered right across Canada.</p>
<p>Most reputable search houses will perform a preliminary name search for your proposed New Brunswick name as part of the service when you buy a New Brunswick Nuans name search from them. Beware of companies that charge an extra fee for this. The only time there should be a fee for a preliminary name search is in the case where you are registering a trade name in a province where a Nuans is not required for registration but you still want to determine the availability of the name. In New Brunswick you are required to provide a Nuans for all business names registered. In light of that when ordering a New Brunswick Nuans name search look for a service that will check your name as part of the cost and that will provide you with confirmation that you have a good chance of getting the name accepted.</p>
<p>You must have a legal element for the proposed name (explained below) but for registrations such as New Brunswick partnerships or New Brunswick trade names the legal element is not required or even allowed.</p>
<p>Outlined below is a breakdown of the elements of a corporation name which principles can be used for business names as well with the exception of the legal element.</p>
<p>If the name you choose to register is &#8220;Ryan Carpentry Inc. , the distinctive element is the word &#8220;Ryan&#8221;, which is distinctive because it is a last name of a person. Another example of a distinctive element in a name might be &#8220;Owen Sound&#8221; as in &#8220;Owen Sound Garden Supplies Ltd.&#8221; which is distinctive because it describes a location. &#8220;Treetop Tree Cutting Services Corp.&#8221; has the distinctive word &#8220;Treetop&#8221; in it to make it stand out from other dental service companies.</p>
<p>The descriptive element describes the type of business. In &#8220;Shipview Business Services Inc.&#8221;, the descriptive element is &#8220;Business Services&#8221; which describes the nature of business. In &#8220;Swan Pool Supplies Ltd.&#8221; the descriptive element is &#8220;Pool Supplies&#8221; which describes the type of products this business sells. &#8220;Dental Services&#8221; is the descriptive element for &#8220;Union Dental Services Corp.&#8221;.</p>
<p>The Legal Element in the company name &#8220;Titanic Business Services Inc. is the word &#8220;Inc.&#8221; which is a mandatory legal ending that signifies that the name given to that entity is connected to a registered company. In Canada you can have the following endings for your company name: &#8220;Inc.&#8221;, &#8220;Incorporated&#8221;, &#8220;Ltd.&#8221;, &#8220;Limited&#8221;, &#8220;Corp.&#8221;, &#8220;Corporation&#8221; and the French equivalents of &#8220;Ltee.&#8221; &#8220;Limitee&#8221;, &#8220;Inc.&#8221; (same in English and French) or &#8220;Incorporee&#8221;, The Legal Element distinguishes your name as a company that can issue shares rather than a business name, sole proprietorship or partnership registered in Canada.</p>
<p>As indicated, the New Brunswick company is very particular about name granting. You must order your Nuans report from a search house. When the search house checks your name (NB: if a search house does not perform a preliminary name search for your name you must request this) if it takes the effort to ensure your New Brunswick name is available you will have a better chance of having your name accepted. Even then, it may still not be accepted. The government has its own internal policies and different examiners have different ideas about what is an acceptable name. You could still need to order another search if your name is rejected. If the search house has made efforts to check your name then it would not be the fault of the search house if the name is rejected. Not all names will show up on a preliminary name search report. If you happen to get a difficult examiner you could still have your name rejected.</p>

<p>The statute says that each person who: (1) is engaged in business for trading, manufacturing, contracting or mining purposes; and (2) is not associated in partnership with any other person or persons and uses as the person&#8217;s business name some name or designation other than the person&#8217;s own, or the person&#8217;s own name with the addition of &#8220;and company&#8221; or some other word or phrase indicating a plurality of members in a firm; shall file with the Alberta Registrar a declaration in writing of the fact. If you are doing an Alberta Registration it would be a good idea to review the Partnership Act online before you register your sole proprietorship.</p>
<p>In layman&#8217;s terms what the statute is trying to say is that any individual who is operating under a name other than his or her own name must register an Alberta sole proprietorship. A sole proprietorship registration in Alberta must be filed six months from the date it commences business in Alberta.</p>
<p>An Alberta Nuans name search report is not required when registering an Alberta sole proprietorship. The Alberta Partnership Act has no requirement for an Alberta trade name/Alberta sole proprietorship to be different than other Alberta registrations. You are allowed to register the exact same name as another sole proprietorship already registered with the Alberta government. Should you register a name that is the same as another name already registered? Absolutely not, unless you are connected in some way to that other registration or have written permission to register the name.</p>
<p>A preliminary name search should be done to ensure your name is available and a search house can do this for you for a small fee. Many search houses will clear your name in advance for free if you chose their service when registering your Alberta trade name.</p>
<p>Is it a requirement to register an Alberta trade name in order to conduct business as a sole proprietorship. No. However if you work under your personal name there may be situations where an Alberta registration would be advantageous as proof that you are in business. You may be required to show a valid registration when you register for other licenses connected to your business or when business proposals are set forth. The Alberta government will not allow you to register an Alberta trade name using your own name. You will need to register an actual business name. On another note, you can obtain a Business Number for your sole proprietorship even if you are operating under your personal name. Business Numbers (GST) are connected to the individual not to the Alberta sole proprietorship registration.</p>
<p>It is not possible for you to register a sole proprietorship on your own. The Alberta government mandates that a service provider must assist you. This is really a good thing since if you pick the right service provider they will check your name in advance for you free of charge. Look for this type of provider before you register and then you can be assured that your name is not only available in Alberta but clear right across Canada.</p>
<p>To terminate an Alberta trade name registration a form must be filed called a Declaration of Ceasing to Carry on Business under a Trade Name.</p>
<p>When you register an Alberta Trade name it will be registered forever unless you chose to terminate it.</p>

<p>Legally, it is up to each individual state to designate public holidays. If the holiday falls on a Saturday or Sunday, the Friday before or the Monday after is given in lieu to make a long weekend.</p>
<p>New Year&#8217;s Day (January 1) &#8211; celebrating the New Year dates back to pre-Christian times, when rites were performed to attempt to ensure the return of Spring.</p>
<p>Martin Luther King Jnr. Day (third Monday in January) &#8211; before he was shot dead in 1968, Martin Luther King Jnr. was the foremost civil rights leader in the 1950&#8242;s and 1960&#8242;s. He was awarded the Nobel Peace Prize in 1964. Congress set this day aside to commemorate his life and accomplishments in 1983.</p>
<p>Washington&#8217;s Birthday (third Monday in February) &#8211; originally it was celebrated on Washington&#8217;s actual birthday, the 22nd of February, but it was moved in 1971 to make a long weekend. It is occasionally known as Presidents&#8217; Day, because it is close to Lincoln&#8217;s birthday on the 12th February.</p>
<p>Memorial Day (last Monday in May) &#8211; also called Decoration Day, it honours soldiers fallen in battle.It originates from the Civil War and is traditionally marked by parades and services.</p>
<p>Independence Day (4th July) &#8211; this, the most significant US holiday, marks the 1776 signing of the Declaration of Independence from Great Britain. It was first celebrated in 1777 and is marked by fireworks, parades and speeches.</p>

<p>The law requires that a person must not give the public the opinion that he or she is carrying on business under another name unless that name has been registered. Further a person must be registered in order to be legally allowed to use a name other than his or her own.</p>
<p>An Ontario Nuans name search report is not required when registering an Ontario sole proprietorship. The Business Names Act (Ontario) has no requirement for an Ontario trade name / Ontario sole proprietorship to be different than other Ontario registrations. You are allowed to register the exact same name as another sole proprietorship already registered with the Ontario government. Should you register a name that is the same as another name already registered? Absolutely not, unless you are connected in some way to that other registration or have written permission to register the name.</p>
<p>A preliminary name search should be done to ensure your name is available and a search house can do this for you for a small fee. <p>A dissolution of an Ontario sole proprietorship must be filed if you no longer wish to carry on business under the name you have registered.</p>
<p>An Ontario sole proprietorship registration expires after five years. The expiry date will be shown on the Master Business Licence. The onus is on you to renew your licence and it is a good idea to renew it a few days before the expiry date. No reminder notice is sent out by the government.</p>
