Search an Alberta Company to Determine Officers, Directors and Shareholders

Is there an Alberta company that you wish to find out information about such as the names and addresses of the officers and directors of the company? Are you wanting to find out the official address of an Alberta company and who the President of the company is? You can find out this information by ordering what is called an Alberta company search or Alberta corporate search.
You will not be able to determine information about an Alberta sole proprietorship or an Alberta partnership from this type of report. If you wish to find out information about a partnership or a sole proprietorship registered in the province of Alberta, you need to obtain an Alberta Business Name Search.
The Corporate search report will tell you the address of the registered office of an Alberta company, the names and addresses for service of all directors, the names, titles and address for service of all officers, and all filings done on behalf of the company such as articles of amendment, the share attributes of the company, all previous names of the company and even ownership of the company. The Alberta government actually provides more information about a company than most other provinces or territories provide. Usually you cannot determine ownership of a company but in Alberta you can. This means you are able to find out the names of all the shareholders.
All provinces and territories in Canada offer these kinds of searches but every jurisdiction calls them by different names and provides slightly different information. When ordering an Alberta corporate search you should ensure to let the search house know what jurisdiction the company was registered in so it can search the proper jurisdiction.
You will need to know the proper name of the company. If you do not know this you can as well write the contact person at the search house and tell them you are not sure and they can do a quick check for you to see what names are on file, prior to your spending your money. Every company including companies registered in Alberta have a corporation number assigned at the time of incorporation. In Alberta it is called an Alberta Corporate Access Number. It helps a lot if you can provide this number to the search house and will prevent an error occurring when the company is searched.
You cannot search an individual’s name to determine what companies the person is a director on or what companies a person owns. You have to know the name of the companies that he or she owns before you perform the search.

Advice On How To Pick A Name Before Incorporating A Company

A company cannot be incorporated in Canada anywhere without providing a Nuans name search report or a similar name search. This is frequently the case when registering a sole proprietorship, partnership or business name as well.
A preliminary name check is done by someone who wants to register a sole proprietorship, corporation, partnership or business name prior to ordering a Nuans name search or similar report. Performing a preliminary name search prior to ordering a full name search helps to let you know if there is a chance the name is clear. It can save you money having this done.
Prior to registering your business, the appropriate government office handling name clearances will review the name search to make sure there are no names on the report which could be considered a problem. The government in the federal jurisdiction will refuse to register a name that sounds the same as a name that is on record.
If you place an order with a search house for a Nuans name search report or similar report a preliminary name search is normally done as part of that fee. Determine in advance before ordering your name search that the preliminary name search is part of the service. A full Nuans name search must not be provided without first having a preliminary name search performed. There is was exception to this rule. If you are registering a partnership, sole proprietorship or business name and the province or territory does not require a name search then in that case you should pay separately for a preliminary name search to be done before you register your business name. I will go into this further below.
Just because you have a name search (Nuans report) is not a 100% guarantee the government is going to accept your name. If the Nuans search house does not perform preliminary name searches prior to ordering a full Nuans report you should look for another one. A Nuans name search report can be ordered without a preliminary name search but an experienced search house will do a preliminary name search first so you have less chance of your name being rejected by the province or territory in which you wish to register your business without charging you extra.
Consider it this way. You decide you want to register the name John’s House Cleaning Business Inc. There is no exact match but there is a registration for John’s Housecleaning Business Ltd. The search house you use does not tell you about John’s Housecleaning Business Ltd. because they do not pre-clear the name. You register your business and John of John’s Housecleaning Business Ltd. finds out about you. He has established himself in the same area where you live and is well known to the public for 20 or more years. He considers your business name as a conflict and he could take you to court and try to force you to change your company name because it is a conflict to him. Depending on how well he is established or the conflicts that arise after you start using your name, you could be requested by court order to change your business name. Can you imagine how much trouble that could be for you? Would you want to have a name that was that close to another business anyway? It would be a conflict for you as well.
The search house will provide the Nuans name search report or similar name search report to you by email and you should take some time to review the report to ensure for yourself that the name you wish to use is not too similar to another name already registered.
In Ontario you can register any company name as long as it is different in some way. Using the example above, both those names are the same except for one space and the ending of the name. The Ontario government would let that go through however the federal government would reject it for sure because the federal government scrutinizes names more closely.
In Ontario and Alberta and possibly in other Canadian jurisdictions, you can register a business name, sole proprietorship or partnership without providing a Nuans name search report. This means the government will not be reviewing the name prior to registration and therefore the onus is on you to ensure you have a name different from others. In fact in Alberta and Ontario you can register a business name exactly the same as another business name.
In this instance you would purchase a preliminary name search. To summarize when it is not a government requirement to provide a name search report (or Nuans) upon registering a sole proprietorship, partnership or business name a preliminary name search should be performed in advance of registering. You should also be aware that many search houses will provide you with a free preliminary name search if you purchase the registration of a sole proprietorship, business name or partnership with them in cases where a name search is not needed. If you are not clear on the websites policy, contact them and ask.
